Holding, SPF, SCS and SCSp: Luxembourg structures set up and administered
STYX Corporate Services sets up the Luxembourg structures most used in wealth management and investment, then administers them over time: formalities, meetings, filings and officers.
Three structures, three uses
The right structure depends on the goal, the nature of the assets and the profile of the partners. We present the options, then organise the set-up with the authorised professionals.
- Holding company (SOPARFI). A company that holds participations. It may benefit from the participation exemption regime where the holding conditions are met.
- SPF (family wealth management company). A vehicle reserved for managing the financial wealth of private persons, with its own legal framework.
- SCS or SCSp (common or special limited partnership). A partnership that pools funds with a general partner (the GP) who manages.
What we do
- Scoping the structure with you and your advisers, before any incorporation.
- Coordinating the notary and the professionals for the deed and the registration.
- Registration at the trade and companies register (RCS) and the beneficial owners register (RBE).
- Manager, director or chairman mandates where an officer is needed.
- Day-to-day administration: meetings, registers, filing of the annual accounts.
Foreign partners and investors
Luxembourg structures are often held from abroad. We verify the identity of the partners and beneficial owners, the source of funds and the purpose of the structure, as the anti-money-laundering law requires.
What we do not do
We do not give legal, tax or accounting advice and we do not hold client funds. Tax analysis and the preparation of the accounts are given to authorised professionals, whom we coordinate. We do not domicile companies.
Frequently asked questions
Is a minimum capital needed?
It depends on the form. A S.à r.l. and a S.A. each have a legal minimum capital, while a limited partnership offers more freedom. We check this with you.
Does an SPF suit a company or a fund?
No. The SPF is designed for the private wealth of individuals and vehicles acting for them. A company investing for third parties falls under a different framework.
Must the structure have a real presence in Luxembourg?
Substance is a question for most structures. We look at it at the design stage, with management and the registered office.
