Mandates
Manager, director, chairman: an officer for your Luxembourg company
STYX Corporate Services holds management roles in Luxembourg companies: manager, director, chairman or managing director. Each mandate is set out in an engagement letter.
The mandates we hold
- Manager of a private limited company (S.à r.l.).
- Director of a public limited company (S.A.).
- President of a simplified joint stock company (S.A.S.) or chairman of an S.A. board.
- General partner of a limited partnership, where the structure fits.
When to use an external officer
- The current officer has left the company or cannot be reached.
- A structure owned from abroad needs a representative in Luxembourg.
- The company must show effective management on the ground.
- A compliance catch-up needs an officer to sign the decisions.
Separation of roles
A mandate is never combined with an incompatible role in the same company. The officer does not prepare or audit the accounts: those tasks go to other independent providers.
How it works
- A meeting to understand the company, its activity and its partners.
- Identity and compliance checks before accepting.
- An engagement letter: powers, decisions that need your approval and the fee.
- Appointment by the shareholders, then registration at the register.
Frequently asked questions
Can we limit the officer's powers?
Yes. The engagement letter lists the decisions that need your written approval: a sale, a loan, a change of activity.
Is the officer liable for the company?
An officer is liable under the conditions set by law. This is why we review the company before accepting.
Do you accept a mandate in a company that is late with filings?
Often yes, as part of a supervised compliance catch-up, after reviewing the file.
