Administration and corporate secretarial for Luxembourg companies
A Luxembourg company has regular obligations. We keep them up to date: meetings, decisions, registers, formalities and calendar, so your company stays in order without you having to think about it.
What administration covers
- Preparing and holding general meetings, ordinary and extraordinary.
- Drafting decisions and minutes, and keeping the company's registers.
- Tracking the legal calendar: year-end, approval of the accounts, filings.
- Updating the beneficial owners register (RBE).
- Dealing with the notary, the accountant, the lawyer and the banks.
The annual accounts
The annual accounts are prepared by an accountant registered with the Order. We coordinate their work, the documents to supply and the timetable, then prepare the meeting that approves the accounts and the filing at the register.
Who it is for
- Structures held from abroad, with no team on the ground.
- Holding companies, SPFs and limited partnerships that have few transactions but constant obligations.
- Partners who want a single point of contact for all formalities.
What we do not do
Administration does not include domiciliation, legal or tax advice, or bookkeeping. For those, we put you in touch with the authorised professional.
Frequently asked questions
How often do you hold meetings?
At least one annual meeting to approve the accounts, and whenever a shareholder decision requires it: change of officer, purpose, capital or registered office.
Can you take over the administration of an existing company?
Yes. We start with a review of the file and the filing history, then set the plan.
Is a resident officer included?
Not by default. An officer mandate is agreed separately, with an engagement letter.
