The mandates we can hold

Director

Member of the board of a public limited company. Takes part in collective decisions, oversees management, bears the director's responsibility.

Manager

Management of a private limited company within the limits of the articles and the shareholders' decisions.

Chairman

Representation of a simplified joint-stock company towards third parties, according to the articles.

Managing director

Day-to-day management, with the powers provided by the articles.

Commissaire aux comptes

Supervisory function provided by company law. It is not a statutory audit.

Conditions to accept a mandate

We prefer few mandates, properly held. A nominal mandate exposes the company and the person holding it.

Company and beneficial owner identified, KYC form complete.
Real activity consistent with the corporate object.
Valid registered office in Luxembourg.
Engagement letter signed before taking office.
No combination with an incompatible role in the same company.
Access to the information needed to really perform the mandate.
