The administrative dissolution without liquidation procedure (PDAL) targets Luxembourg companies that no longer meet their basic obligations. It is better to regularise before the decision than to repair afterwards.
In brief : PDAL in Luxembourg: who is targeted, timeline, consequences and ways to bring a company back into compliance before administrative dissolution.
Commercial companies without an effective registered office, that have not filed annual accounts for a long time, or whose registry information is outdated may fall within the procedure. A dormant company that is compliant is not concerned for that reason alone.
The procedure is started by the competent authority, with a publication and a period to react. During that period the company can regularise its situation. Exact deadlines and criteria are set by law and must be checked against each company's file at the relevant date.
We review the registry file, list the gaps, build a timetable and coordinate the professionals needed: notary, approved statutory auditor, accountant, domiciliation agent. Where the corporate object and the situation allow, we can also accept a directorship.
STYX Corporate Services holds company mandates and coordinates formalities. The business relationship entry audit is a preliminary diagnosis, not a statutory audit of the accounts. It does not keep books, does not prepare accounts, and provides no statutory audit, domiciliation, or legal or tax advice, and holds no client funds. When a regulated engagement is needed, it refers you to the competent professional: notary, approved statutory auditor, accountant, domiciliation agent.
